Ming Yang Smart Energy Group Limited (the "Company") has recently received a written application from Mr. Ge Changxin, the Vice Chairman of the Company, who applies to resign as the Vice Chairman and a member of the Audit Committee of the Company for personal reasons.

II. Impact of the director's resignation on the Company
Pursuant to the relevant requirements of the Company Law and the Guidelines for the Self-regulation for Listed Companies of the Shanghai Stock Exchange No. 1 - Standardized Operation, as the resignation of Mr. Ge Changxin would result in the number of members in the Audit Committee falling below the statutory minimum, his resignation will take effect only after a new member of the Audit Committee is elected by the Company. The Company will complete the election of a new member of the Audit Committee as soon as possible.
The resignation of Mr. Ge Changxin will not affect the daily production and operation of the Company and the normal operation of the Board.
As of the disclosure date of this announcement, Mr. Ge Changxin does not hold any shares of the Company, and there are no relevant commitments that he shall perform but haven't been fulfilled.
The Board would like to express its sincere gratitude to Mr. Ge Changxin for his contribution to the development of the Company during his tenure as the Vice Chairman of the Board and a member of the Audit Committee.
